This is a OEM "System Builder Single Pack". Being such, it is not an "upgrade". It is a full install but you are limited as to the terms of its EULA in using it.

But honestly, for many of us... we probably won't want the "home" version of Vista (if you want Vista at all) since it's missing some of the "good stuff" for why you'd buy Vista in the first place.

But hey... other than that, $50 is a nice price considering the retail value of that software.
