Problem: everytime my win2k boots, w2k installed a driver then ask me to reboot; but all the drivers are already installed!...how do I prevent that message from showing up again?

Do you know what the driver is for? Vid card, sound card, etc?

The driver is for a modem

Maybe, just maybe, Windows 2000 is having difficulty installing the modem driver. Check your device manager and delete all references to a modem. Afterwards, reboot and let Windows 2000 redetect and reinstall the modem driver. Hopefully, the driver installation will finally stick. Good luck. :)
