You could try and go the your System Configuration Utility, and disable your fast shutdown (if you haven't tried that already). Not sure if that'll work, but it has been known to have solved a lot of shut down problems.

Not likely, but possible...
A long time ago...(win95/98)....
Many shut down errors were due to hardware getting a command to power down. If the driver sends the command just slightly wrong the device will go Tango Uniform. Also, if the device powers down and then the OS asks it to do something...same error.
I don't know how to fix this, other than to test each piece of hardware and it's driver set. Sorry.

Tuvi:
Here at work I do a lot of hardware / software swapping on my system. After a few weeks I start getting similar FEE (fatal Exception Errors) on shutdown.
So far, the easiest solution is to boot into safe mode (restart, press F8 before windows starts until you get a menu, and select option3), scandisk the drives, and then Defrag each drive (full defrag). Disable all screensavers / antivirus software begore you run defrag though... http://www.gotapex.com/ubb/smile.gif
When complete, just reboot and try again. Also, shutting down all running software before shutting don the system.
