You should be fine. Your mobo needs an ATX PS, and your case has one. 380W is a bit on the lean side, but Antec makes good PSs so unless you are running more than a few hard drives, you should be ok.

Yeah its going to have a DVD reader, DVD burner and SATA Seagate 160GB which is 7200 RPM and a 6600GT card so its not that big of a load on the system.
