whats the differece between a boxed retail cpu and a OEM.

Actually, I have heard that OEM's withthe new steppings will out overclock retails (for AMD anyway)

I don't see how. If it burnt up then it got too hot. That could easily happen if you are not overclocking and you fan clip breaks.
